Brzyski & Partners Management Consulting in numbers
“The M&A market is currently shaped by several very significant factors. On one side there is a wave of succession moving through the market, 70% of which fail; on the other, we are not yet good at using the mechanisms for selling and acquiring companies.”
Current market conditions favour finding an investor.
family businesses will change owner by 2030. Proper preparation decides whether owners sell on their own terms and in their own time, or under pressure from the calendar and from emotion.
A good company sold badly is years of work wasted.
The most common reason? Lack of preparation.
Funds have done this dozens of times. You are probably doing it for the first time in your life.
On the other side of the table sit people who have closed dozens of transactions. They know every move, every due diligence question, every way of knocking the price down. Levelling the field takes someone who knows those rules just as well as they do.
In due diligence every problem has a price. Better to know it before the buyer does.
When a buyer finds something troubling they do not walk away from the process, they lower the offer. In the industry this is called price chipping. Companies that go in unprepared lose an average of 15-30% of the transaction value this way.
Your valuation and the buyer’s valuation are two different numbers.
And it is usually the buyer who wins that argument, because they have more data, more time and less emotion. Proper preparation reverses that imbalance. You clear up years of loose ends before an investor ever sees them.
Whoever starts negotiations higher, finishes higher.
Working on the value of the company before a sale is not just an investment in the starting point of the negotiation. A buyer will always try to push the price down. If you start from a higher level, you have more room to concede, and more stays in your pocket at the end.

“We entered the Swedish market after 7 months. Łukasz does not just know the language, he knows the data, the realities and how that market actually works. Without him we would still be sitting on a list of companies that never reply.”
