Three synergy scenarios - who does this transaction make sense for?

This is not a generic wholesaler of the kind you see everywhere. The way this business is built means it creates unique value for three entirely different groups of strategic investors. We have prepared three separate versions of the investment teaser, each answering a specific commercial need on the buyer side:

1. The perspective of a PPE manufacturer or distributor (a ready sales channel)

  • Own brands from day one: You take over a direct, well-established distribution channel to end customers in Silesia, which removes intermediaries and gives you full control of the margin.

  • Introducing products through relationships: A new product range does not have to build its position from scratch - it reaches plants through trusted account managers rather than cold outreach.

  • No conflict of interest: The company has had no own-label brands to date, so its customer relationships are clean and driven by genuine demand.

2. The perspective of a vending operator (an instant installation network)

  • An installation list with no prospecting cost: You gain immediate access to several dozen large industrial plants, ready for PPE vending machines to be rolled out.

  • Revenue per customer up 2-3x: Deploying vending technology with loyal customers lifts sales value sharply without having to win new contracts.

  • A local hub and a ready team: The owned property becomes a permanent service and logistics base , and the 12 employees with personal customer relationships can be retrained efficiently to service the machines across the region.

3. The perspective of an e-commerce buyer (a leap to an omnichannel model)

  • A physical advantage that cannot be copied: A large warehouse with stock available immediately allows customers to select and try on workwear in person, which is an insurmountable barrier for a pure online channel.

  • The full digital upside: The company has not run e-commerce to date. A buyer with a developed online platform gains enormous room for an immediate margin uplift by rolling out an omnichannel model across the B2B customer base.

  • A loyal customer book with no acquisition cost: You take over a base built over 36 years without spending time or budget on online marketing.

A flexible transaction structure and security

The reason for the sale is a succession exit by the owners. The transaction process allows for two alternative structuring scenarios:

  • Option A (share deal): Purchase of 100% of the shares in the company together with the property. The total transaction range is PLN 4.25-4.85 million (comprising an operating business value of PLN 1.25-1.85 million and the property valued at PLN 3.00 million). A sale & leaseback mechanism can be used to refinance part of the acquisition.

  • Option B (organised part of an enterprise + lease): Purchase of an organised part of the enterprise (the operating business, customer base, brand and team alone) in the range of PLN 1.25-1.85 million. The warehouse property stays with the current owners and is secured by a long-term lease.

Demand protection: Silesia has the highest accident rate in Poland (6.53 accidents per 1,000 employees). Demand for PPE here is permanently underpinned by strict Labour Code provisions and EU regulations. It is a market resilient to macroeconomic turbulence.

To give the transaction full security the owners offer a transition period of 6 to 12 months. This guarantees a smooth handover of commercial relationships with purchasing decision-makers at the plants and a trouble-free introduction of your product range or technology.
